This is the privacy policy (“Privacy Policy”) of MedPro Systems LLC (the “Company” or “we”). This Privacy Policy  discloses the data collection  practices for www.MedProSystems.com and www.medproid.com (collectively, the “Website”). We provide this Privacy Policy to make you aware of the privacy policy and practices for the Website and the choices you can make about the way we collect and use your information.

Unless otherwise noted, by using the Website you agree to the practices described in this Privacy Policy. Please read this Privacy Policy carefully and if you have any questions, feel free to contact us using the information provided at the end of this Privacy Policy.

REGISTRATION

General use of the Website does not require registration or submission of personal information. However, access to certain parts of the Website may be restricted to customers who have entered into Order Forms or other written customer agreements with us (a “Customer Agreement”). If you or your company have entered into, or enter into, a Customer Agreement with us, the terms of such Customer Agreement shall govern the relationship between you and the Company and shall also apply to your access and use of the Website and any services or materials obtained in connection with the Website (as applicable). In addition to and not in limitation of the foregoing, additional or special services may, from time to time, be offered on the Website to other parties and access to such services may require registration and the submission of personal information. To use these additional or special services a user may be required to provide us with certain mandatory personal data (such as name and email address).

PERSONAL INFORMATION COLLECTION AND USE

We may collect the personal information that you provide directly to us, such as information you submit when you visit the Website. We may also collect information passively or automatically from you, such as information collected from your browser or device. We use this information to operate the Website, carry out our business, comply with laws and for other purposes described herein.

For example, we may collect personal information

  • When you request a free trial or contact us. This might include your name, company name, business email address, title, phone number, and any other information you choose to submit;
  • When you register an account or log into MedProID, we collect your username and password; and
  • When you email us your resume or job inquiry, we collect information in your resume, cover letter or other related information.

In general, we will use the personal information we collect only for the purpose it was collected, for compatible purposes, as permitted or required by law, as necessary to carry out our contractual duties and obligations, and as otherwise provided in this Privacy Policy. For example, we may use your personal information in the following ways:

  • to administer and improve the Website, provide you with a more personalized experience, and enable you to participate in interactive features on the Website;
  • to support your relationship with the Company;
  • to send you newsletters and other marketing communications about the Company;
  • to communicate with you including responding to your questions, concerns and requests, to fulfill any other purpose for which you provide such information, and to notify you about changes to our Website and/or our products and services;
  • to carry out our obligations and enforce our rights arising from any contracts entered into between you and us (including, but not limited to, a Customer Agreement);
  • to enable delivery of products and services to you or provide information, products, and services contracted with you or our clients;
  • for our research and development efforts;
  • for marketing and advertising purposes including serving you targeted advertising; providing opportunities to learn about other products, programs or services that we believe may be of interest to you;
  • for other everyday business purposes such as payment processing and financial account management, product development, I.T. and website administration, data storage, analytics, security, fraud prevention, conducting investigations, corporate governance, reporting and legal compliance, and processing your application for employment;
  • to comply with applicable law and legal obligations; and
  • to establish or defend a legal claim;

The Company does not sell, lease or rent personal information collected through the Website to third parties unless otherwise noted in this Privacy Policy.

How We Share or Disclose Your Information

In general, we will not disclose your personal information except with your consent, as described in this Privacy Policy, or as permitted or required by law. We may disclose your information for the same uses described in this Privacy Policy, which includes disclosing it to our affiliates and non-affiliated third parties as we deem necessary to carry out those purposes.

To carry out such purposes, we may disclose your personal information to the following categories of third parties:

  • Our related entities or affiliates. (e.g., for assistance with our marketing).
  • Service providers who collect, process, or store information on our behalf (e.g., to help us offer, provide, and bill for products and services, for Website operation or hosting, email services, security and fraud protection, marketing and promotional services including material distribution, website evaluation and analytics services, I.T. services, cloud storage, etc.). These third parties are not authorized to use or disclose personal information you provide to us on or through the Website for any purpose other than to perform the services designated by us.

  • Vendors (e.g., marketing companies that assist us with creating marketing profiles, delivering targeted ads, etc.)
  • Third parties from whom we obtain certain information necessary to provide our products and services.
  • Business partners (e.g., as part of promotions or events).
  • Professional advisors (e.g., lawyers, accountants, auditors, bankers, insurers).
  • Social networks (e.g., in connection with marketing).

We also reserve the right to release current or past personal information collected from you: (a) if such information is subpoenaed; (b) to comply with federal, state, or local laws; (c) to comply with a civil, criminal, or regulatory inquiry, investigation, or summons by federal, state, or local authorities; (d) to cooperate with law enforcement agencies concerning conduct or activity that we reasonably and in good faith believe may violate federal, state, or local laws; (e) to conduct an investigation, exercise or defend a legal claim, (f) if we are sold, merge with a third-party or are acquired by a third-party (collectively, “M&A Transactions”) (including where we share your personal information in connection with the due diligence process associated with a potential M&A Transaction); (g) if we are the subject of bankruptcy proceedings; and/or (h) when we deem it necessary or appropriate. Users should also be aware that courts of equity, such as U.S. Bankruptcy Courts, might have the authority under certain circumstances to permit personal information to be shared or transferred to third parties without permission

When you access or navigate the Website we, or third parties on our behalf, may use web technologies such as cookies, beacons, and other tools to collect information about you and your activities on the Website. We, or third parties, may associate this data with personal information collected about you from other sources or that you provide to us.

Log Files: We use IP addresses to analyze trends, administer the Website, track users’ movement and gather broad information for aggregate use.

Web Beacons: Pages of our Website and our e-mails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags and single-pixel gifs) that permit us or a third party on our behalf, to count users who have visited those pages, opened an e-mail, collect other related Website statistics (e.g., recording the popularity of certain Website content and verifying system and server integrity) or similar purposes. For example, the Website uses the Meta pixel for analytics, tracking and serving targeted ads to you. The pixel may track information such as your page view, view content,  search, add to cart, purchase  information, sign up, download, submit form, or user information (IP address, browser information).

URL trackers. These third party trackers are strings of code that track user behavior after clicking on a URL for marketing purposes.

Social media widgets. The Website includes social media features, such as LinkedIn widgets. These features may collect information about you such as your IP address and which page you are visiting on the Site. They may set a cookie or employ other tracking technologies to accomplish this. Social media features and widgets may be hosted by a third party. Your interactions with those features are governed by the privacy policies of the companies that provide them.

Browser/device/online fingerprinting. These web tools use scripts to track your device or browser attributes and IP address. This helps us understand the Website user.

Session replay. These tools record your interaction with the Site. This  helps us track, analyze and better understand how visitors use the Site. These tools may record information about your clicks, scrolls and mouse movements, feedback polls, country, duration, device, name, email, ID, browser, OS, and IP address. A third party helps operate these tools for us, including storing and processing the information collected through the tools.

Do Not Track.

“Do Not Track” is a privacy preference you can set in your Internet search browser that sends a signal to a website that you do not want the Website operator to track certain browsing information about you. We track Websites users over time and across third-party websites; however, at the current time, because our Website is not configured to detect Do Not Track signals, the Company does not commit to responding to browsers’ do not track signals. Links.

The Website contains links to other websites on the Internet for informational purposes only. We may also provide links to third party integrations. Third party integrations are websites or platforms that synchronize with our Website to provide you with additional functionality, tools, or services such as maps or sending requested information. Please be aware that Company is not responsible for the privacy practices of any other such sites. This Privacy Policy applies exclusively to the Website. It is the sole responsibility of the user to familiarize themselves with the privacy practices of any other website they utilize (including those they access through the Website).

Embedded Content.

The Website may contain embedded content (e.g., videos). Embedded content can place third party cookies on your device that track your online activity to enhance your experience or assess the success of their application. We have no direct control over the information these cookies collect, and you should refer to their website privacy policy for additional information.

How Long We Retain Your Information.

We retain your personal information for as long as necessary to achieve the purposes for which it was collected (e.g., to provide products and services, administer your open account, manage your contract). We may retain your personal information for longer if it is necessary to comply with our legal or reporting obligations, resolve disputes, collect fees, etc. or as permitted or required by applicable law. We may also retain your personal information in a deidentified or aggregated form so that it can no longer be associated with you. To determine the appropriate retention period for your personal information, we consider various factors such as the amount, nature, and sensitivity of your information; the potential risk of unauthorized access, use or disclosure; the purposes for which we process your personal information; applicable legal requirements.

Information of Children.

The Website is not directed to children under the age of 13 years. The Company does not knowingly collect, use or disclose any personal information from children under 13 years old.

Applicable law.

This Privacy Policy is governed by the internal substantive laws of New Jersey, without regard to its conflict of laws principles. Jurisdiction for any claims arising under or out of this Privacy Policy shall lie exclusively with the state and federal courts within New Jersey. If any provision of this Policy is found to be invalid by a court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Policy, which shall remain in full force and effect.

Your Choices.

If you wish to access, correct or delete any personal information that you have provided to us, please send an email to Privacy@MedProSystems.com. Certain exceptions may apply that limit our ability to comply with your request.

If you do not wish to have your e-mail address or other contact information used by the company to promote our own products or services, please send us an e-mail stating your intent to Privacy@MedProSystems.com. This opt-out does not apply to information provided to the company as a result of a product purchase, product service experience or other transaction.

Safeguarding Information.

We take reasonable and appropriate measures to safeguard personal information from unauthorized access and disclosure. For example, we have implemented a security program that contains administrative, technical and physical controls that are designed to reasonably protect the privacy and security of your data. However, no system for safeguarding personal or other information is 100% secure and even though we have taken steps to protect your personal information, we cannot fully eliminate security risks.

Unfortunately, the transmission of information via the Internet is not completely secure. Although we use reasonable efforts to protect your personal information, we cannot guarantee the security of your personal information transmitted to the Website. Any transmission of personal information is at your own risk.

The safety and security of your information also depends on you. We are not responsible for circumvention of any privacy settings or security measures contained on the Website.  Where we have given you (or where you have chosen) a password for access to certain parts of the Website, you are responsible for keeping this password confidential.

Notice of Changes.

The Company reserves the right to update this Privacy Policy. It is our policy to post any material changes we make to the Privacy Policy with a notice that the Privacy Policy has been updated on the Website home page. The date the Privacy Policy was last revised is identified at the top of the page. If we decide to change our privacy practices and these changes involve the way in which we use personal information, we will also notify registered users of these changes by email.

You are responsible for ensuring we have an up-to-date active and deliverable e-mail address for you, and for periodically visiting this Website and this Privacy Policy to check for any changes. Your continued use of the Website after we make changes is deemed acceptance of those changes.

Transfer of Your Personal information.

When your personal information is submitted through our Website, it may be transferred to our servers in other jurisdictions, including the United States, which may not have similar data protection laws to the country in which you reside.

We comply with the EU-U.S. Data Privacy Framework (“EU-US DPF”), the U.K. Extension to the EU-US DPF (UK Extension), and the Swiss-U.S. Data Privacy Framework (Swiss DPF) as set forth by the U.S. Department of Commerce (“DOC”) regarding the collection, use, disclosure and retention of certain personal data transferred from the European Economic Area (“EEA”), U.K. or Switzerland to us in the United States. YOUR CALIFORNIA PRIVACY RIGHTS

Shine the Light law. California Civil Code § 1798.83 permits users of our Website that are California residents to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. California Consumer Privacy Act, as amended (“CCPA”). The following section (“CCPA Section”) applies solely to individuals who are residents of the State of California (“consumers” or “you”). This CCPA Section describes our policies and practices regarding the collection, use, and disclosure of personal information we collect about you, including personal information we obtain when you access or use the Website, or through other channels including but not limited to phone and email conversations, social media interactions on our websites, viewing our emails, attending an event, or through our authorized services providers.


This CCPA Section supplements and amends the information contained in the Website Privacy Policy. The other provisions of the Website Policy continue to apply except as modified in this CCPA Section. Any terms defined within the CCPA have the same meaning when utilized in this Section.

We may add to the categories of PI we collect and the purpose we use PI. In that case, we will inform you by posting an updated version of this CCPA Section on the Site.

  1. Identifiers. Examples include real name, postal address, unique personal identifier, online identifier, Internet Protocol address, email address, account name, or other similar identifiers.
  2. Other elements in CA Civ Code Section 1798.80(e). Examples include name, characteristics or description, address, telephone number, account number, credit card number.
  3. Characteristics of protected classifications under California or federal law. This category includes characteristics of protected classifications under California or federal law.
  4. Commercial information. This includes services purchased, obtained, or considered, or other purchasing or consuming histories or tendencies.
  5. Education Information. This category includes information that is not publicly available personally identifiable information as defined in the Family Educational Rights and Privacy Act (20 U.S.C. section 1232g, Sec. 1232g; 34 C.F.R. Part 99).
  6. Internet or other electronic network activity. Examples include browsing history, search history, a consumer’s interaction with an internet website, application, or advertisement.
  7. Geolocation data. This might include location information while using one of our apps.
  8. Audio, electronic, visual, thermal, olfactory, or similar information. This category includes, without limitation, information collected from voicemail messages, while speaking with one of our service representatives, and/or by video camera.
  9. Professional or employment-related information. This category includes, without limitation, information regarding job applications, information related to onboarding for payroll and benefits, and information needed for evaluating performance.

PI does not include:

  • Publicly available information from government records.
  • Deidentified or aggregated consumer information.
  • Information excluded from the CCPA’s scope, such as certain health or medical information and other categories of information protected by different laws

B. Business or Commercial Purposes for Which We Collect Your Personal Information.

In limited circumstances, we may also collect and process personal information about healthcare practitioners to assist our pharmaceutical, medical device and other Life Sciences industry customers with their regulatory compliance obligations.

C. Sources of Personal Information.

  • You. We may collect personal information that you provide directly or from our interactions with you.
  • Third Parties. We may collect information about you from third parties that are lawfully entitled to share your data with us such as service providers that collect information on our behalf, professional associations, the healthcare organization with which a health care provider is affiliated, current or former employers, or colleagues.
  • Information Collected Automatically. As you access, navigate and interact with our Website, we may collect information through web technologies.

Your Consumer Rights and How to Exercise Them. The CCPA provides California Consumers with the following rights, subject to certain exceptions:

The Right to Opt Out of the Sale or Sharing of Your Personal Information. Under the CCPA, “sell” means disclosing personal information for monetary or other valuable consideration. “Share” means disclosing personal information for purposes of cross contextual behavioral advertising regardless of consideration.

This Website also recognizes and processes opt-out preference signals that indicate your intent to opt out of the sale or sharing of your personal information. Use the available privacy controls on this page to adjust your preferences. 

We do not have actual knowledge that we have sold or shared the PI of minors under the age of 16 years.

Sensitive Personal Information. We do not use or disclose your sensitive personal information for purposes that, with limited exceptions, are not necessary to provide our products and services as are reasonably expected by an average consumer requesting those goods and services.

Right to Request Deletion. You have the right to request that we delete your personal information from our records, subject to certain exceptions. Upon receipt of a verifiable consumer request (see below), and as required by the CCPA, we will delete and direct any service providers, contractors, and third parties to delete your PI from their records.

Right to Know. You have the right to request that we disclose the following to you as it relates to the 12-month period preceding the Company’s receipt of your verifiable consumer request (see below):

  1. The categories of PI we have collected about you.
  2. The categories of sources from which the PI was collected.
  3. The business or commercial purpose for collecting, selling, or sharing PI.
  4. The categories of PI we disclosed or sold for a business purpose.
  5. The categories of third parties we disclosed PI to, by the category of PI.
  6. The specific pieces of PI we collected about you.

Right to Request Correction. You have the right, subject to certain limitations, to request that we correct any inaccurate personal information we maintain about you.  Upon receipt of a verifiable consumer request, and as required by the CCPA, we will take appropriate steps to respond to your request.

We will not discriminate against you for exercising any of your CCPA rights. For example, we generally will not provide you a different level or quality of goods or services if you exercise your rights under the CCPA.

  • Submitting Consumer Rights Requests

  • Verifiable Requests

We reserve the right to only respond to verifiable consumer requests to know, correct and delete. A verifiable consumer request is one made by any individual who is:

  1. the consumer who is the subject of the request,
  2. a consumer on behalf of the consumer’s minor child, or
  3. by a natural person or person registered with the Secretary of State authorized to act on behalf of a consumer.

If we request, you must provide us with sufficient information to verify your identity and/or authority to act on behalf of a Consumer. In general, we may ask you to provide identifying information that we already maintain about you or we may use a third-party verification service. In either event, we will try to avoid asking you for sensitive PI to verify your identity. We may not be able to respond to your request or provide you with PI if we cannot verify your identity or authority to make the request and confirm the PI relates to you. However, making a verifiable consumer request does not require you to create an account with us.

Additionally, you will need to describe your request with sufficient detail to allow us to review, understand, assess, and respond. We will not use the PI we collect from an individual to determine a verifiable request for any other purpose, except as required by law.

We reserve the right to charge a fee to process or respond to your request if it is excessive, repetitive, or manifestly unfounded. If we determine that a request warrants a fee, we will attempt to notify you as to why we made that decision and provide a cost estimate before completing your request. We will attempt to respond to a verifiable consumer request within forty-five (45) days of receipt, but we may require up to ninety (90) days to respond, under which circumstances we will notify you of the need for an extension.

If you have an account with us, we will deliver our written response to that account. If you do not have an account with us, we will deliver our written response by mail or electronically, at your option. Any disclosures we provide will only cover the 12-month period preceding the receipt of your verifiable consumer request. With respect to Personal Information collected on and after January 1, 2022, and to the extent expressly permitted by applicable regulation, you may request that such disclosures cover a period beyond the 12 months referenced above, provided doing so would not be impossible or require a disproportionate effort by us. The response we provide will also explain the reasons we cannot comply with a request, if applicable. To the extent permitted by the CCPA, we will respond to no more than two requests during any 12-month period.

H. Authorized Agents

You may authorize a natural person, or a business registered with the California Secretary of State to act on your behalf with respect to your rights under this CA Addendum. Unless you have provided the authorized agent with a qualifying power of attorney, you must provide your authorized agent written permission (signed by you) to act on your behalf and verify the authorized agent’s identity with us. We reserve the right to deny requests from persons or businesses claiming to be authorized agents that do not submit sufficient proof of their authorization.
